Articles of association

I. Name, registered office, duration

Article 1
Under the name " Nyon International Archaeology Film Festival "(F.I.F.A.N.), a not-for-profit association within the meaning of Articles 60 et seq. of the Swiss Civil Code.                                 

Article 2
The association's head office is in Nyon.

Article 3
The association is created for an indefinite period.

II. Purpose

Article 4
The purpose of the association is to organize, develop and promote the Nyon International Archaeology Film Festival. It works towards this goal in close collaboration with the Roman Museum of Nyon, its founder and long-standing partner.

III. Members

Article 5
The association is open to any natural or legal person who applies for membership and adheres to these articles of association. The Committee decides on admissions, which it may refuse without giving reasons.

Article 6
Each member pays an annual membership fee, the amount of which is set by the General Meeting.

Article 7
Each member has one vote at the Annual General Meeting and must exercise this right personally.

Article 8
Membership is lost by :

  1. Resignation must be made in writing to the Committee, three months in advance, by the end of the financial year; the membership fee for the year remains payable.
  2. Exclusion, pronounced by the Committee for just cause; the Committee is not obliged to communicate the reasons for exclusion. The decision is notified in writing to the member concerned. The excluded member may appeal against this decision to the General Meeting, by registered letter addressed to the Committee, within thirty days of notification of the decision. 

 IV. Resources

Article 9
The association's resources include :

  • contributions
  • donations, bequests, subsidies and public and private contributions
  • ancillary, occasional or advertising products

Article 10
The association is liable for its debts only from its corporate assets. Members assume no personal liability for the Association's commitments.

V. Organization and representation

Article 11
The association's governing bodies are :

  • Annual General Meeting
  • the Committee
  • the auditors

Article 12
The General Meeting has the following inalienable powers:

  • appointment of the Committee and auditors
  • appointment of Festival Director
  • validation of the association's general orientations proposed by the Committee in collaboration with the Festival Director
  • approval of reports, accounts and budget
  • setting annual membership fees
  • modification of the bylaws, by a 2/3 majority of votes cast
  • dissolution and liquidation of the association, by a 2/3 majority of votes cast

Article 13

  1. The Annual General Meeting meets once a year.
  2. An Extraordinary General Meeting may be called as often as the Committee deems necessary, or by one-fifth of the members.
  3. Notice of meetings, including the agenda, must be sent to members at least fifteen days before the set date.

Article 14

  1. The Board is the association's executive body. It represents the association in dealings with third parties. It is responsible for the smooth running of the association.
  2. The Committee draws up the terms of reference for the Festival Director.
  3. The Committee, in collaboration with the Festival Director, defines the general direction of the association.

Article 15

  1. The Committee is made up of five to nine members, including, if possible, a representative of the Ville de Nyon.
  2. The curator of the Roman Museum of Nyon is a member "ex officio".
  3. Committee members are elected by the General Meeting for a renewable 2-year term. The Committee is made up of at least one president, with the possibility of co-presidency, one secretary and one treasurer. It is responsible for its own internal organization.
  4. The Festival Director participates in the Committee in an advisory capacity.

Article 16

  1. The Committee is empowered to take decisions when at least a majority of members are present. Decisions are taken by a relative majority of votes cast.
  2. Each member is entitled to one vote.
  3. In the event of a tie, the co-chairman's vote is decisive.

Article 17

a) The Committee's powers include the following:

  • Contribution to the organization of the Nyon International Archaeology Film Festival "With the support of the Service de la Culture and the Musée romain de Nyon.
  • Contribution to the development of Nyon International Archaeology Film Festival "
  • Contributing to the promotion of Nyon International Archaeology Film Festival "
  • Contribution to fundraising
  • Allocation of funds
  • Implementation of General Meeting decisions
  • Managing the association's day-to-day business
  • Financial management
  • Admission and exclusion of members  

b) The Board of Directors validly binds the Association by collective signature of two persons. It appoints a 3e alternate member if one of the 2 members with signing authority is unavailable.

VI. Final provisions

Article 18
The dissolution of the association may only be decided at the request of the Board or of half the members, at an Extraordinary General Meeting. The decision to dissolve must be approved by 2/3 of the members.

In the event of dissolution, any assets of the association will be transferred to another association with similar aims, as decided by the General Meeting.

These Articles of Association were adopted at the Constituent Meeting on Monday, November 24, 2014, in Nyon. They will be amended and approved at the Annual General Meeting on June 20, 2022.
